The Structure You Choose at Incorporation Decides What You Pay in Tax for Years.
Activity codes, jurisdiction, shareholding — these aren’t paperwork, they’re decisions that compound. Get them wrong and you’re overpaying tax, locked out of markets, or unwinding a structure years later at real cost.
That’s why setup should weigh your finances, logistics, business model, legal exposure, market access, and tax position together by one advisor.
With 20+ years’ experience across UAE, we build that full picture, covering the complete cost and tax implications of your structure. Then we file it, register you with the FTA, and keep your books from day one.
Free Zone or Mainland
Neither is universally better. It depends on where your customers are, how many visas you need, and what your tax position looks like in three years.
| Free Zone | Mainland | |
|---|---|---|
| Foreign ownership | Free Zone 100% | Mainland 100% for most activities |
| Where you can trade | Free Zone Within the free zone and internationally; UAE mainland through a distributor or a branch | Mainland Anywhere in the UAE and internationally |
| Corporate Tax | Free Zone 9% above AED 375,000 — or 0% on qualifying income where the company meets the Qualifying Free Zone Person conditions | Mainland 9% above AED 375,000, 0% below. Businesses with revenue under AED 3 million may elect Small Business Relief. |
| VAT registration | Free Zone Mandatory above AED 375,000 in taxable supplies; voluntary from AED 187,500 | Mainland Same |
| Residence visas | Free Zone Quota tied to your licence package and office type | Mainland Quota tied to your office space |
| Office | Free Zone Flexi-desk accepted in most zones | Mainland Physical premises with a registered Ejari |
| Works best for | Free Zone Consulting, IT, e-commerce, holding structures, international trade | Mainland Retail, F&B, contracting, government contracts, UAE-facing services |
The free zone 0% rate is not automatic. It applies to qualifying income only, requires real substance in the UAE, and is tested every year. We model it before you pick a zone.

We build yours before we apply: business rationale, source of funds, expected transaction flow, your counterparties. We tell you which banks fit your profile — and we tell you upfront when a bank won’t take it, before you spend six weeks finding out.

How long will your setup take?
Timelines depend on your jurisdiction, your activity and your bank. Tell us your case and we'll give you a realistic schedule.
What Will Your Setup Cost?
Every setup is priced against your case — jurisdiction, number of visas, office, activity. Free zone packages change during the year, so a fixed price list would only mislead you. Tell us your case and you get a full written breakdown: our fee fixed, government fees passed through at cost.
Year Two and Beyond: Ongoing Business Cost
Most setup quotes stop at the licence. Here is what an operating company pays for after month twelve — so nothing surprises you.
- Licence renewal annually
- Visa renewal, per person every two years
- Bookkeeping monthly
- Corporate Tax return annually
- VAT returns, if registered quarterly
- Audit, where your zone requires it annually
Every one of these is in your written quote before you incorporate.
Why Founders Choose A Consulting
-
01
We stay after the licence is issued.
Setup is the first month of a long relationship — we file your returns, so the structure we build has to still work in year three.
-
02
Compliance and tax-first structuring.
Activity codes, shareholding and jurisdiction decide your corporate tax position. We choose them against your tax position, not against a template.
-
03
An FTA-registered Tax Agent in-house.
Our founder Oxana Josan holds ACCA and ATT designations. She is also registered with the Federal Tax Authority as a Tax Agent, which means she deals with the FTA directly on your behalf.
-
04

Frequently Asked Questions
As a ballpark: a free zone company with one visa typically lands between AED 15,000 and 25,000 all-in, mainland setups from around AED 30,000. Free zones revise their packages during the year, which is why we don’t publish a fixed price list. Before you commit you get an exact written breakdown for your case — our fee fixed, government and authority fees at cost.
The licence itself is typically issued within 5–10 working days once documents are complete. Residence visas add 7–15 working days. A corporate bank account is the slow step — expect 2 to 6 weeks, depending on the bank and your business profile.
If your customers are outside the UAE or inside a free zone, a free zone licence is usually cheaper and faster. If you sell to UAE mainland customers, take government contracts, or run a retail or F&B operation, you need a mainland licence. The tax consequences differ too, which is why we model both before recommending one.
Yes, for most commercial and professional activities. The requirement for a local Emirati partner was removed for the majority of activities, though a limited list of strategic activities still carries restrictions. We check your specific activity before you commit.
Most free zones accept a flexi-desk. A mainland licence requires physical premises with a registered Ejari tenancy contract. The visa quota you can obtain is tied to the space you hold.
UAE corporate tax applies at 9% on taxable income above AED 375,000, and 0% below that. A free zone company can achieve 0% on qualifying income if it meets the Qualifying Free Zone Person conditions — adequate substance in the UAE, qualifying activities, and the de minimis limit on non-qualifying revenue. These conditions are tested every year, not once at setup.
Registration is mandatory once your taxable supplies exceed AED 375,000 over twelve months, and voluntary from AED 187,500. Registering voluntarily sometimes makes sense — for example, when you incur significant recoverable input VAT. We assess it rather than defaulting either way.
Often yes, but banks apply stricter compliance to non-resident shareholders and to certain nationalities and activities. What decides the outcome is the quality of the compliance file — business rationale, source of funds, expected transaction flow. We prepare it before the application, which is why our accounts open. The full document list is in our guide: Documents required for UAE company registration.
No. You can own a company without holding a residence visa. A visa becomes necessary if you want to live in the UAE, sponsor family, or in some cases to satisfy a bank’s requirements or to claim UAE tax residency.
For most free zones, yes — documents are signed remotely or under a power of attorney, and the licence is issued without you leaving home. You will normally need one trip for your visa medical, biometrics and Emirates ID, and most banks want to meet you in person. We plan the trip so everything happens in a single visit, usually three to four working days.
We take it over. A large share of our clients come to us after a setup that technically works but doesn’t hold up — activity codes that don’t match the invoices, no bookkeeping, a missed CT registration. We review what you have, tell you what needs fixing, and price the fix before we start.
Corporate tax registration, VAT registration where relevant, UBO and ESR filings, bookkeeping, and an annual filing calendar. This is where the relationship really starts: we keep the structure compliant year after year, so nothing has to be retrofitted later.
